1. LEGAL FRAMEWORK

1.1 These Terms are governed by Scots law, and any disputes will be handled in the Scottish courts. 1.2 We may update these Terms from time to time. If we do, we’ll notify you with at least 30 days' notice before significant changes take effect.

2. SERVICES PROVIDED

2.1 Our App syncs and integrates data between HubSpot and OrderWise, helping businesses automate workflows. 2.2 The Services are provided "as is" and "as available" without guarantees of uninterrupted or error-free operation.

3. SUBSCRIPTIONS & FEES

3.1 Our Services run on a rolling 12-month subscription that automatically renews unless cancelled in line with Clause 4. 3.2 Subscription fees must be paid in advance. Failure to pay may result in suspension or termination of your account. 3.3 We reserve the right to adjust pricing, with at least 60 days’ notice before any renewal period. 3.4 We reserve the right to increase subscription fees by 5-10% annually to cover the costs of additional functionality within the App, with 60 days' notice before the renewal date.

4. CANCELLATION & TERMINATION

4.1 You may cancel your subscription by providing at least 1 month's written notice before the renewal date. 4.2 If you don’t cancel within this timeframe, your subscription will renew for another 12-month term. 4.3 We may terminate or suspend your access if you breach these Terms or use the Services in a way that may cause harm. 4.4 No refunds will be issued for early termination unless agreed in writing.

5. CUSTOMER RESPONSIBILITIES

5.1 You are responsible for maintaining your account security, including passwords and access credentials. 5.2 You must not misuse the Services, attempt to reverse-engineer our software, or interfere with its functionality. 5.3 You remain responsible for ensuring compliance with all applicable laws when using the Services.

6. DATA PRIVACY & SECURITY

6.1 We process personal data in line with UK GDPR and the Data Protection Act 2018. 6.2 We take security seriously and employ encryption, redundancy, and other measures to protect your data. 6.3 You are responsible for ensuring that your use of the Services complies with your own data protection obligations.

7. LIABILITY & LIMITATIONS

7.1 To the maximum extent permitted by law, we are not liable for indirect, incidental, or consequential damages, including lost profits or data. 7.2 Our total liability for any claim will not exceed the total fees paid by you in the 12 months preceding the claim.

8. INTELLECTUAL PROPERTY

8.1 All intellectual property rights in the App, including software, branding, and documentation, remain the exclusive property of Cogent Connective Ltd. 8.2 You are granted a limited, non-exclusive, non-transferable licence to use the Services for internal business operations.

9. FORCE MAJEURE

9.1 We are not liable for failures or delays caused by events beyond our control, including natural disasters, cyber-attacks, or government actions.
