  • Agreement: The contract between you and Cogent Connective that includes these Terms of Service and any specific service agreements or quotations.

Cogent Connective offers a variety of business services including:

  • Data Integration: Connecting various systems, like HubSpot and OrderWise, to streamline data flow between different platforms.
  • Consulting Services: Offering expert advice to businesses on optimising their processes, software, and systems.
  • Customisation of Software Solutions: Tailoring systems to your business’s specific needs, including custom dashboards, reports, and integrations.
  • Training and Support: Providing training sessions and ongoing support for software and system integration, ensuring businesses can maximise the value of their systems.

3. Acceptance of Terms

By purchasing, subscribing to, or using any of our Services, you accept and agree to these Terms. We may update these Terms from time to time and will notify you of any significant changes. You are encouraged to check this page regularly for updates.

4. Registration and Account Creation

  • Late Payments: Failure to make payments on time may result in suspension of Services or termination of the agreement. Late payments may be subject to interest charges as specified in your service agreement.

7. Intellectual Property

  • Ownership: All intellectual property rights in the software, code, and content created by Cogent Connective remain with us or our licensors.
  • License: We grant you a non-exclusive, non-transferable license to use the deliverables provided under this Agreement solely for your internal business purposes.
  • Restrictions: You may not modify, distribute, or reverse-engineer any of our intellectual property, except as expressly permitted in the Agreement.

8. Confidentiality

Both parties agree to keep confidential any information or data shared in connection with the provision of our Services, including any proprietary or business-sensitive information. This obligation continues even after the termination of this Agreement.

9. Privacy and Data Protection

10. Third-Party Services

Our Services may integrate with third-party systems (e.g., HubSpot, OrderWise, etc.). We do not control these third-party services and are not responsible for their availability or functionality. By using these third-party services, you acknowledge and agree to their respective terms and conditions.

11. Support and Maintenance

Cogent Connective offers support as outlined in your service agreement. The level of support may vary depending on the terms of the agreement, including:

  • Email or phone support during business hours.
  • Assistance with system errors or bugs.
  • Regular updates and system maintenance, if applicable.

We will use reasonable efforts to provide support in a timely manner. However, we do not guarantee that our Services will be error-free or uninterrupted.

12. Limitation of Liability

To the fullest extent permitted by law, Cogent Connective will not be liable for any indirect, special, incidental, consequential, or punitive damages arising from your use of our Services, including loss of profits, data, or business opportunities.

Nothing in these Terms shall limit or exclude our liability for death, personal injury, or fraud.

13. Indemnity

You agree to indemnify, defend, and hold harmless Cogent Connective, its officers, employees, and agents from any claims, losses, liabilities, costs, or expenses (including legal fees) arising from your use of the Services or any breach of these Terms.

14. Termination

You may terminate this Agreement at any time by notifying us in writing. We reserve the right to suspend or terminate your access to our Services if:

  • You breach any of the terms outlined in this Agreement.
  • We are required to do so due to legal or regulatory obligations.
  • We decide to discontinue providing the Services.

Upon termination, any outstanding fees for Services provided up until the date of termination remain due and payable.

15. Force Majeure

Cogent Connective will not be held liable for any failure or delay in performance of the Services if such failure or delay is caused by circumstances beyond our reasonable control, such as natural disasters, strikes, or technological failures.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of Scotland. Any disputes arising from or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of Scotland.

17. Modifications to Terms of Service

We may update these Terms from time to time. Any changes will be posted on this page, and the revised Terms will take effect immediately upon posting. You are responsible for reviewing these Terms periodically to stay informed of any changes.
